Flex International Hub - Terms & Conditions for Fintech Company Users

Welcome to Flex International Hub (the "Platform"), a professional networking service operated by the Global Fintech Institute ("GFI", "we", "us", or "our").

These Terms & Conditions ("Terms") govern your access to and use of the Platform as a Fintech Company User. Please read this document carefully before creating your account.

By clicking "I Agree," you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

1. Glossary of Terms

• "Platform" refers to the Flex International Hub website, services, and applications.
• "GFI" refers to the Global Fintech Institute Ltd., the Singapore-headquartered entity that owns and operates the Platform.
• "User" refers to any individual or entity registered on the Platform, including CFtP Users, Fintech Companies, and Investor Users.
• "Fintech Company User" or "You" refers to an entity, and its authorized representative, registered on the Platform primarily for seeking talent and investment.
• "Investor User" refers to a User who represents a venture capital firm, angel investor, or other investment body.
• "CFtP User" refers to a User who is an individual certified by the GFI.
• "Public Profile Data" includes your company name, logo, mission statement, funding stage, and other information provided for your public profile.
• "Pitch Deck" refers to the proprietary file (e.g., PDF) you voluntarily upload to your company profile.
• "CV" refers to the curriculum vitae or resume file uploaded by a CFtP User.
• "Verified Profile Badge" is a digital badge displayed on your profile. It solely confirms that your legal registration number has been checked against an official business registry. It is not an endorsement, a financial guarantee, or a rating of your company's investment-worthiness.

2. Acceptance of Terms

This is a binding legal agreement. By creating an account on behalf of a company, you represent and warrant that you are an authorized representative of that entity with the authority to bind it to these Terms, and that you agree to these Terms on the entity's behalf.

3. User Eligibility (Fintech Company)

To register as a Fintech Company User, you must be a legally registered business entity. You agree to provide truthful and accurate information about your company, its legal status, and its business operations.

4. Account Verification

To receive the "Verified Profile Badge," you must provide your company's legal registration number (e.g., UEN). You explicitly consent to GFI and the Platform using this information to perform a one-time check against official business registries to confirm your company's legal existence.

5. User Obligations & Conduct

You agree that you will NOT:

• Spam, harass, or threaten any other User.
• Use the Platform for any illegal or fraudulent activity.
• Misrepresent your company, its financial status, its technology, or any investment opportunities.
• Scrape, data-mine, or attempt to extract data from the Platform in bulk.
• Impersonate any person or entity.
• Share your account credentials or allow any other person to use your account.

6. User-Generated Content (UGC) and Grant of License

You are solely responsible for all content you upload or post, including your Public Profile Data, Company Logo, and Pitch Deck.

• License to GFI (Brand Assets): You grant GFI a worldwide, non-exclusive, royalty-free, perpetual license to use, host, display, and reproduce your company's name, logo, and other brand assets ("Brand Assets") as necessary to operate and promote the Platform.
• CRITICAL: CONSENT TO PUBLIC VISIBILITY OF YOUR PITCH DECK - To facilitate the Platform's core networking function, you explicitly acknowledge, agree, and consent that your uploaded Pitch Deck will be immediately and fully visible and downloadable by ALL other registered Users of the Platform (including Investors and CFtP Users). You understand that your Pitch Deck may contain proprietary or confidential information. By uploading it, you accept all risks associated with making this document public. You warrant that you have all necessary rights to upload and publicly circulate this Pitch Deck and that it does not contain any information you are legally bound to keep confidential. GFI is not and will not be responsible for the storage, use, misuse, or dissemination of your Pitch Deck by any other User or third party who downloads it from the Platform.

7. Disclaimers and Limitation of Liability

• No Endorsement: GFI does not endorse, and is not responsible for, any User, including any CFtP User, Fintech Company, or Investor on the Platform. We act solely as a neutral platform to allow Users to discover and connect with each other. The display of a "Verified Profile Badge" is not an endorsement of your company.
• No Financial, Investment, or Legal Advice: You acknowledge that GFI is not a financial intermediary, broker, or investment advisor. The Platform provides information, not advice. You are solely responsible for your own due diligence and compliance with all applicable securities laws when engaging with Investors.
• No Brokerage or Success Fees: GFI is not a party to, and has no responsibility for, any transaction or agreement (e.g., investment, employment) made between Users. GFI does not engage in any activity that would require it to be registered as a broker-dealer. We do not perform financial investment matching, and we do not charge any commission, success fees, or brokerage fees based on any investment or deal facilitated through the Platform.
• "As-Is" Service: The Platform is provided "as-is" without any warranties. GFI does not guarantee that the Platform will be secure, error-free, or uninterrupted.
• No Agency: We are not a party to any agreement or transaction made between Users. You are solely responsible for your interactions and engagements with other Users.
• Limitation of Liability: To the fullest extent permitted by law, GFI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or investment capital, arising from your use of the Platform, your reliance on any User-Generated Content, or your interactions with other Users.

8. Termination

You may terminate this agreement at any time by providing 14 days' written notice to us at info@globalfintechinstitute.org. GFI may also terminate or suspend your account at any time, without notice, for any breach of these Terms.

Upon termination, we will follow the data deletion procedures outlined in our Privacy Policy.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. You agree to submit to the exclusive jurisdiction of the courts of Singapore to resolve any dispute arising from these Terms or your use of the Platform.
