Flex International Hub - Terms of Service for Investor Users

Welcome to Flex International Hub (the "Platform"), a professional networking service operated by the Global Fintech Institute ("GFI", "we", "us", or "our").

These Terms of Service ("Terms") and our Privacy Policy govern your access to and use of the Platform as an Investor User. Please read this document carefully before creating your account.

By clicking "I Agree," you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

1. Glossary of Terms

• "Platform" refers to the Flex International Hub website, services, and applications.
• "GFI" refers to the Global Fintech Institute Ltd., the Singapore-headquartered entity that owns and operates the Platform.
• "User" refers to any individual or entity registered on the Platform, including CFtP Users, Fintech Companies, and Investor Users.
• "Investor User" or "You" refers to an individual or entity registered on the Platform who represents a venture capital firm, angel investor, family office, or other investment body.
• "Fintech Company" refers to a User entity that has created a company profile, primarily for hiring and seeking investment.
• "Public Profile Data" includes your name, firm name, firm type, investment thesis, and target sectors/stages.
• "Pitch Deck" refers to the proprietary file uploaded by a Fintech Company.
• "Verified Profile Badge" is a digital badge displayed on a Fintech Company's profile. It solely confirms that the company's legal registration number has been checked against an official business registry. It is not an endorsement, a financial guarantee, or a rating of the company's investment-worthiness.

2. Acceptance of Terms

This is a binding legal agreement. By creating an account, you represent that you are of legal age, that you are authorized to represent your firm (if applicable), and that you will comply with all terms herein.

3. User Eligibility (Investor)

To register as an Investor User, you must be an accredited investor or a representative of a legitimate investment entity (e.g., Venture Capital firm, Private Equity firm, Family Office). You agree to provide truthful and accurate information about your identity and your firm's investment thesis.

4. Account Verification

You consent to GFI and the Platform using your provided firm email domain to verify your professional affiliation. GFI reserves the right to request additional information to verify your status as an investor and to restrict or remove access if your status cannot be verified.

5. User Obligations & Conduct

You agree that you will NOT:

• Spam, harass, or threaten any other User.
• Use the Platform for any illegal or fraudulent activity.
• Scrape, data-mine, or attempt to extract data from the Platform in bulk.
• Impersonate any person or entity.
• Use any information obtained from the Platform in violation of any applicable securities laws or regulations.
• Share your account credentials or allow any other person to use your account.

6. User-Generated Content (UGC)

You are solely responsible for all content you upload or post, primarily your Public Profile Data. By posting content, you grant GFI a worldwide, non-exclusive, royalty-free, perpetual license to host, display, reproduce, and distribute your content as necessary to operate and promote the Platform.

7. Disclaimers and Limitation of Liability

• No Endorsement: GFI does not endorse, and is not responsible for, any User, including any CFtP User, Fintech Company, or Investor on the Platform. We act solely as a neutral platform to allow Users to discover and connect with each other. The display of a "Verified Profile Badge" on a company's profile is not an endorsement of that company, its business model, or its investment-worthiness.
• No Financial, Investment, or Legal Advice: You acknowledge that GFI is not a financial intermediary, broker, or investment advisor. The Platform provides information, not advice. All content on the Platform, including Pitch Decks and company profiles, is for informational purposes only. GFI does not provide any financial, legal, tax, or investment advice. You are solely responsible for conducting your own due diligence before making any investment decisions.
• No Brokerage or Success Fees: GFI is not a party to, and has no responsibility for, any transaction or agreement (e.g., investment, employment) made between Users. GFI does not engage in any activity that would require it to be registered as a broker-dealer. We do not perform financial investment matching, and we do not charge any commission, success fees, or brokerage fees based on any investment or deal facilitated through the Platform.
• "As-Is" Service: The Platform is provided "as-is" without any warranties. GFI does not guarantee that the Platform will be secure, error-free, or uninterrupted.
• No Agency: We are not a party to any agreement or transaction made between Users. You are solely responsible for your interactions and engagements with other Users.
• Limitation of Liability: To the fullest extent permitted by law, GFI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or investment capital, arising from your use of the Platform, your reliance on any User-Generated Content, or your interactions with other Users.

8. Termination

You may terminate this agreement at any time by providing 14 days' written notice to us via info@globalfintechinstitute.org. GFI may also terminate or suspend your account at any time, without notice, for any breach of these Terms.

Upon termination, we will follow the data deletion procedures outlined in our Privacy Policy.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. You agree to submit to the exclusive jurisdiction of the courts of Singapore to resolve any dispute arising from these Terms or your use of the Platform.
